1. Introduction
These Terms of Service (“Terms”) form an agreement between [LEGAL COMPANY NAME], registration number [COMPANY REGISTRATION NUMBER], of [BUSINESS ADDRESS], [COUNTRY], operating as StreamMonitorVPS (“StreamMonitorVPS,” “we,” or “us”), and the business customer purchasing or using the services (“Customer”). A service order, proposal, statement of work, or other written agreement may add service-specific terms.
2. Services
StreamMonitorVPS provides business infrastructure services that may include VPS-related infrastructure, server supervision, streaming server monitoring, availability and network checks, incident detection, technical support, and managed infrastructure services. The precise scope, configuration, billing interval, and deliverables are stated in the applicable service agreement.
3. Business Customers
The services are offered for business and professional use, not personal or household use. The person accepting these Terms for an organization represents that they have authority to bind that organization.
4. Customer Responsibilities
Customers must provide accurate account, billing, and technical information; maintain authorized access credentials; identify appropriate contacts; cooperate with reasonable technical requests; and use the services lawfully. Customers remain responsible for their applications, content, configurations, end users, backups, and decisions made using monitoring information unless the service agreement expressly states otherwise.
5. Infrastructure Services
Infrastructure services may rely on allocated server, network, storage, software, or third-party resources. Capacity, location, configuration, usage limits, and management responsibilities are defined in the service agreement. Customers must not exceed agreed resource limits or interfere with infrastructure security or stability.
6. Monitoring Services
Monitoring services observe configured systems, endpoints, or metrics and may generate operational information or incident notifications. Monitoring reduces visibility gaps but cannot guarantee detection of every interruption, performance issue, security event, or underlying cause. Customers must provide current monitoring targets and notification contacts.
7. Service Availability
We aim to provide reliable services, but availability may be affected by maintenance, internet conditions, third-party failures, customer systems, emergencies, attacks, or events outside reasonable control. Any specific service level commitment applies only when expressly included in the Customer’s service agreement.
8. Maintenance
StreamMonitorVPS may perform scheduled or emergency maintenance to preserve security, performance, or service integrity. Where practical, we will provide notice of planned work that is reasonably expected to affect the contracted service.
9. Payments
Customers must pay the prices, taxes, and applicable charges stated in their service agreement or invoice by the due date. Payments may be processed by Paddle or another disclosed payment provider. The provider’s checkout and payment terms may also apply.
10. Recurring Subscriptions
Some StreamMonitorVPS services may be provided under recurring subscription arrangements. Where recurring billing applies, the Customer authorizes the payment provider to charge the selected payment method according to the agreed billing interval until the subscription is cancelled or terminated.
11. Automatic Renewal
Unless the service agreement states otherwise, recurring services renew automatically for successive billing periods at the then-applicable agreed price. Customers may request cancellation according to the terms of their service agreement and the cancellation section below.
12. Payment Failure
If a payment is declined, overdue, reversed, or disputed, we may request an updated payment method, retry collection where permitted, restrict new work, or suspend affected services after reasonable notice when practicable. The Customer remains responsible for valid outstanding charges.
13. Cancellation
Subscription services may be cancelled by contacting StreamMonitorVPS support. Cancellation requests should be submitted before the next billing date whenever possible. Cancellation prevents future renewals but does not automatically create a refund for services already provided. Service-specific notice periods in an applicable agreement remain effective.
14. Refunds
Refund eligibility depends on the service, billing period, allocated resources, and work already performed. Requests are reviewed under our Refund Policy, the applicable service agreement, and applicable law.
15. Acceptable Use
Customers must not use the services for unlawful, fraudulent, abusive, infringing, or harmful activity; unauthorized access; malware distribution; network attacks; interference with other systems; unsolicited communications; or content that violates applicable law or third-party rights. Customers must not attempt to bypass technical or usage restrictions.
16. Intellectual Property
Each party retains ownership of its pre-existing intellectual property. StreamMonitorVPS retains rights in its website, operational methods, documentation, configurations, and service technology. The Customer retains rights in its content and data. No rights are transferred except the limited rights needed to deliver and use the contracted services.
17. Third-Party Services
Services may depend on data centers, networks, hosting providers, software, payment processors, or other third parties. Their terms and availability may affect delivery. StreamMonitorVPS is not responsible for third-party services outside its reasonable control, but will use commercially reasonable efforts to manage dependencies within the contracted scope.
18. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, or consequential losses, or for lost profits, revenue, data, or business opportunities. StreamMonitorVPS’s aggregate liability arising from a service will not exceed fees paid for that affected service during the six months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited.
19. Service Suspension
We may suspend all or part of a service when reasonably necessary to address a security risk, prohibited use, material breach, payment failure, legal requirement, or threat to infrastructure or other customers. Where appropriate, we will provide notice and an opportunity to remedy the issue.
20. Changes to Services
We may update service features, technical methods, or dependencies to improve operations, maintain security, or comply with requirements. We will communicate material changes that substantially reduce contracted functionality where reasonably possible.
21. Termination
Either party may terminate according to the applicable service agreement. A party may terminate for a material breach that remains uncured after reasonable notice, or immediately where continued service would be unlawful or create a serious security risk. Accrued payment obligations and provisions intended to survive will continue after termination.
22. Governing Terms
These Terms, together with the applicable service agreement and referenced policies, form the agreement between the parties. The parties will seek to resolve disputes in good faith. Governing law and venue, where required, will be those identified in the applicable service agreement or otherwise determined under applicable law. If a provision is unenforceable, the remaining provisions continue in effect.
